INDEMNITY
You agree to defend, indemnify and hold harmless APERTURE TALENT AGENCY and its officers, directors, employees and/or agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to legal fees) arising from: (i) your use of and access to the Service; (ii) any breach by you of any term of these Terms of Use; (iii) your violation, alleged or actual, of any third party right, including without limitation any copyright, property, or privacy right; or (v) your negligence or willful malfeasance (collectively, “Claims”).
MODIFICATION
APERTURE TALENT AGENCY shall have the right to modify these Terms and Conditions at any time, which modification shall be effective immediately following posting of such change on the aperture-talent.com <https://www.aperture-talent.com> website. Your use of the Service following such posting shall be deemed acceptance of such modification. These Terms and Conditions may not otherwise be changed or modified, except in writing and signed by an authorized representative of APERTURE TALENT AGENCY.
SEVERABILITY
If any provision of these Terms and Conditions is found illegal or unenforceable in whole or in part, such provision shall be deemed not to form a part of these Terms and Conditions and all other provisions of these Terms and Conditions shall remain in full force and effect.
GOVERNING LAW AND JURIDICTION
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New York. You agree that any dispute arising out of or in connection with these Terms and Conditions or your use of the Service shall be determined by the courts in the the State of New York.
